These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Stima SAS, a company incorporated under French law with its registered offices in Paris, France ("Stima," "we," "us," or "our"). These Terms govern your access to and use of the Stima platform, the Stima driver application, the SEM-1 hardware module, related APIs, and all associated software, documentation, and services (collectively, the "Services").
By clicking "I agree," creating a Stima account, signing an order form that references these Terms, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and in that case "you" and "your" will refer to that entity.
If you do not agree to these Terms, do not access or use the Services. Stima reserves the right to modify these Terms at any time by posting an updated version at stimaboda.org/legal/terms.html and notifying current account holders by email at least 30 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
2.1 Platform Services. Stima provides a cloud-based EV battery fleet management platform that collects telemetry data from electric vehicles via the SEM-1 hardware module, processes that data to generate battery state-of-health estimates, degradation alerts, and charge routing recommendations, and presents fleet health information through a web dashboard and mobile application.
2.2 Hardware. The SEM-1 module is a purpose-built hardware device manufactured by Stima for installation in electric vehicles to collect battery telemetry data. Hardware is sold separately from platform subscriptions and is subject to the limited hardware warranty described in Section 12 of these Terms. Hardware must be installed in accordance with the documentation provided by Stima; improper installation voids the warranty and may compromise data quality.
2.3 Driver Application. The Stima driver app is a companion mobile application for vehicle drivers that provides in-cab battery status, charge routing directions, and the battery concern reporting feature. The driver app is included with platform subscriptions at no additional charge. Use of the driver app by individual drivers is subject to these Terms and Stima's Privacy Policy.
2.4 API Access. Stima provides a REST API that allows authorized integrations with third-party fleet management software. API access is available on qualifying subscription tiers as specified in the pricing schedule at stimaboda.org/price.html. API use is subject to rate limits and the acceptable use restrictions in Section 6 of these Terms.
3.1 Account creation. To use the Stima platform, you must create an account by providing accurate, complete, and current information including your name, organization name, email address, and billing information. You are responsible for maintaining the accuracy of this information and for updating it promptly if it changes.
3.2 Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must implement reasonably strong passwords for all account users and enable multi-factor authentication for administrative users. You agree to notify Stima immediately at contact@stimaboda.org of any unauthorized use of your account or any security breach you become aware of.
3.3 Authorized users. You may grant access to the Stima platform to multiple users within your organization, subject to the user seat limits of your subscription tier. You are responsible for ensuring that all authorized users comply with these Terms. Each authorized user must have an individual account; sharing login credentials between users is not permitted.
3.4 One account per organization. Stima permits one primary organization account per legal entity. You may create multiple sub-accounts for organizational units or fleets within your organization subject to approval by Stima. Creating multiple accounts to circumvent subscription limits or pricing is a material breach of these Terms.
4.1 Subscription plans. Stima offers subscription plans with pricing as specified at stimaboda.org/price.html. Platform subscription fees are charged in US Dollars (USD) on a monthly or annual basis, as selected at the time of purchase. Hardware (SEM-1 modules) is priced and invoiced separately. Stima may modify subscription pricing with 60 days' notice to current subscribers; modified pricing will apply at your next renewal date after the notice period.
4.2 Billing and payment. Platform subscriptions are billed in advance at the start of each subscription period (monthly or annual). Hardware orders are invoiced at the time of order confirmation with payment due within 30 days of invoice date. All payments must be made via the payment methods supported by Stima (currently credit/debit card and bank transfer for orders above $2,500). Invoices not paid within their stated payment terms will accrue interest at the statutory rate applicable under French commercial law.
4.3 Taxes. Subscription fees and hardware prices are stated exclusive of applicable taxes. Where required by law, Stima will add VAT or other applicable taxes to invoices. If you are exempt from VAT in your jurisdiction, you must provide valid exemption documentation before the invoice is issued; Stima cannot issue credit notes for VAT added to previously issued invoices due to late exemption claims.
4.4 Refund policy. For monthly subscriptions, no refunds are provided for partial months. For annual subscriptions cancelled within 30 days of the annual renewal date, Stima will provide a prorated refund for the unused portion of the subscription year, less any discounts applied for annual prepayment. Hardware sales are final; returns are accepted only for defective units within the warranty terms in Section 12. Demo or trial access periods are not refundable.
4.5 Automatic renewal. Subscriptions renew automatically at the end of each subscription period unless you cancel at least 7 days before the renewal date. You can cancel by logging into your account settings or by emailing contact@stimaboda.org. Cancellation takes effect at the end of the current billing period; you retain access to the platform until that date.
5.1 Stima's intellectual property. Stima retains all rights, title, and interest in and to the Services, including all software, algorithms, machine learning models, hardware designs, documentation, trademarks, and trade secrets embodied in the Services. These Terms do not grant you any ownership interest in the Services or Stima's intellectual property. The rights granted to you are limited to the license in Section 5.3.
5.2 Your data. You retain ownership of all data you provide to Stima through your use of the Services, including fleet configuration data, vehicle and battery identifiers, and operational data. You grant Stima a worldwide, non-exclusive, royalty-free license to use, process, and store your data for the purpose of providing the Services, as further described in the Privacy Policy. You also grant Stima the right to use aggregated, anonymized data derived from your fleet telemetry to improve Stima's machine learning models, subject to the conditions in the Privacy Policy.
5.3 License grant. Subject to your compliance with these Terms and payment of applicable fees, Stima grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services during your subscription period for your internal business purposes only.
5.4 Restrictions. You may not: reverse engineer, decompile, disassemble, or attempt to derive source code from any component of the Services; copy, modify, or create derivative works of any part of the Services; remove or alter any proprietary notices or labels on the Services; use the Services to build a competing product or service; or disclose non-public technical information about the Services (including API specifications or hardware schematics) to competitors of Stima.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not use the Services to:
— Upload, transmit, or store data that infringes any third party's intellectual property rights or violates any applicable law;
— Attempt to gain unauthorized access to any portion of the Services, other customers' accounts, or Stima's internal systems;
— Probe, scan, or test the vulnerability of Stima's systems without explicit prior written authorization;
— Exceed the API rate limits or use automated scripts to access the Services in ways that disrupt other customers' use;
— Monitor or track individual drivers' movements beyond the legitimate operational purpose of fleet management, in violation of applicable labor law or privacy regulations in the jurisdiction where your fleet operates;
— Resell, sublicense, or provide access to the Services to third parties outside your organization without Stima's prior written consent. Stima will investigate reported violations and may suspend or terminate accounts found to be in breach of this Section without refund.
7.1 Target availability. Stima targets 99.5% monthly uptime for the platform web dashboard and API, measured as the percentage of minutes in a calendar month that the platform is accessible and responding to requests, excluding scheduled maintenance windows communicated at least 48 hours in advance.
7.2 Service credits. If monthly platform availability falls below 99.5%, Stima will provide service credits equal to 5% of your monthly subscription fee for each full percentage point below the target, up to a maximum of 30% of the monthly fee. Service credits are applied to your next invoice and are your sole remedy for availability failures.
7.3 Telecommunications dependency. The Services depend on third-party cellular networks for telemetry transmission from SEM-1 modules. Stima is not responsible for data gaps caused by cellular network outages or coverage limitations in specific geographic areas. Stima's offline-first architecture mitigates the impact of connectivity interruptions, but does not eliminate it.
8.1 Definition. "Confidential Information" means any non-public technical, business, or operational information disclosed by one party to the other in connection with the Services that is marked as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Your fleet telemetry data is your Confidential Information. Stima's platform architecture, machine learning models, hardware schematics, and pricing for non-public tiers are Stima's Confidential Information.
8.2 Obligations. Each party will: (a) hold the other party's Confidential Information in strict confidence; (b) not use the other party's Confidential Information for any purpose other than performing obligations or exercising rights under these Terms; and (c) not disclose the other party's Confidential Information to any third party except to employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations at least as protective as these Terms. These obligations survive termination of these Terms for 5 years.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. STIMA EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
STIMA DOES NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY BATTERY DEGRADATION PREDICTION OR ALERT WILL BE ACCURATE IN ALL CASES; (C) THE SERVICES WILL PREVENT BATTERY FAILURES OR VEHICLE DOWNTIME; OR (D) DEFECTS WILL BE CORRECTED.
THE BATTERY HEALTH PREDICTIONS AND ALERTS PROVIDED BY THE STIMA PLATFORM ARE PROBABILISTIC ESTIMATES BASED ON TELEMETRY DATA AND MACHINE LEARNING MODELS. THEY ARE NOT GUARANTEES OF BATTERY BEHAVIOR. FLEET OPERATORS ARE RESPONSIBLE FOR MAKING THEIR OWN MAINTENANCE DECISIONS AND SHOULD NOT RELY SOLELY ON STIMA'S ALERTS AS A SUBSTITUTE FOR QUALIFIED MECHANICAL INSPECTION.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL STIMA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING LOST PROFITS, LOST REVENUE, LOST VEHICLE OPERATING TIME, BATTERY REPLACEMENT COSTS, OR SIMILAR DAMAGES, EVEN IF STIMA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
STIMA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO STIMA FOR PLATFORM SUBSCRIPTIONS IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you in full. In such jurisdictions, Stima's liability will be limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Stima, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from: (a) your use of the Services in violation of these Terms or applicable law; (b) your fleet operations, including any vehicle accidents, driver injuries, or regulatory violations; (c) your violation of any third party's rights; or (d) your inaccurate representations regarding authorization to bind your organization to these Terms.
12.1 Limited warranty. Stima warrants to the original purchaser that SEM-1 hardware modules will be free from defects in materials and workmanship for a period of twelve (12) months from the date of shipment. This warranty does not cover: damage caused by accident, abuse, misuse, or unauthorized modification; installation in configurations not described in the installation guide; exposure to conditions exceeding the module's rated operating specifications; or normal wear and tear including connector wear from repeated insertions.
12.2 Warranty service. To obtain warranty service, contact contact@stimaboda.org with a description of the defect and your purchase order number. If the defect is confirmed, Stima will, at its discretion, repair or replace the defective unit. You are responsible for shipping costs to Stima; Stima will cover return shipping for warranted repairs or replacements. Replacement units are warranted for the remainder of the original warranty period or 90 days from shipment of the replacement, whichever is longer.
13.1 Termination by you. You may terminate your subscription at any time by cancelling through your account settings or by emailing contact@stimaboda.org. Termination takes effect at the end of the current billing period. No refunds are provided for partial subscription periods, except as described in Section 4.4.
13.2 Termination by Stima. Stima may suspend or terminate your account immediately for: material breach of these Terms; non-payment of fees outstanding for more than 30 days after due date; use of the Services in a manner that poses security risks to Stima or other customers; or if required by applicable law. For material breaches other than non-payment, Stima will provide 14 days' written notice and opportunity to cure before termination.
13.3 Effect of termination. Upon termination, your right to access the Services ceases. Stima will make your fleet data available for export for 30 days following termination, after which it may be deleted in accordance with our data retention schedule. Sections 5.1, 8, 9, 10, 11, and 14 survive termination.
These Terms are governed by and construed in accordance with the laws of France, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms, including questions of their existence, validity, or termination, shall first be referred to good-faith negotiation between the parties for a period of 30 days.
If the parties cannot resolve the dispute through negotiation, it shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France. You waive any objection to the personal jurisdiction or venue of such courts. Where applicable consumer protection regulations require that disputes be resolved in the customer's jurisdiction, those regulations take precedence over this choice of forum clause.
Nothing in this Section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm while a dispute is pending resolution.
Entire agreement. These Terms, together with any order forms, the Privacy Policy, and the Cookie Policy, constitute the entire agreement between you and Stima regarding the Services and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Waiver. Failure to enforce any provision of these Terms will not constitute a waiver of Stima's right to enforce that provision in the future.
Assignment. You may not assign these Terms or your subscription without Stima's prior written consent. Stima may assign these Terms in connection with a merger, acquisition, or sale of assets without your consent.
